ACCEPTANCE AND MODIFICATION OF TERMS
By accessing or using any website, mobile site, social media platform, or other digital property owned and operated by BRYT, you agree to comply with these Terms of Service (the “Terms”). If you do not agree to these Terms, do not use our website or services.
We reserve the right to modify, update, or change these Terms at any time without prior notice. Any modifications will be effective immediately upon posting on our site. It is your responsibility to review these Terms periodically. Your continued use of BRYT services constitutes acceptance of any changes.
STATEMENT
Statements regarding BRYT products have not been evaluated by the FDA. Our products are not intended to diagnose, treat, cure, or prevent any disease. The information provided on our website is for educational purposes only.
Users are encouraged to conduct their own research and consult a healthcare professional before consuming BRYT Mushroom Coffee, especially if they have existing medical conditions, are pregnant, or nursing.
Terms of Service
You are purchasing from Reach in the way we describe below. Depending on your location, "Reach" refers to With Reach (EU) Limited ÖU (registration #14571597, "Reach EU"), Reach Ltd. ( "Reach Canada"), With Reach (Australia) Pty. Ltd. ( "Reach Australia"), With Reach UK Ltd. (registration #08507554, "Reach UK"), or With Reach (USA) LLC ( "Reach USA").
The item(s) that you are purchasing will be sold by Reach to you. You will provide your payment information, shipping address, and any additional information required or requested to complete your order directly to Reachfor Reach to process your payment and complete your order.
Your order is subject to: (1) these Reach Terms of Service; (2) the Reach Privacy Policy; and (3) any relevant terms and conditions imposed by any other applicable third parties, including the party supplying the products. By completing your purchase, you confirm that you have read and agree to be bound by all of these.
By placing an order, you understand and agree that:

You are purchasing from, and providing your information to, Reach. Reach is entitled to verify and authenticate your payment information, and if it is unable to verify this information, Reach may contact you and/or your payment card issuer to confirm your identity and/or your intent to place the order.

If there is an error in the price listed for a product on the website from which you are purchasing or in the price applied to the product during the sale of and processing of your order, Reach is entitled to contact you, correct the price, and/or cancel your order.

If Reach is able to successfully verify your payment information, payment details for your order will be processed by Reach as the seller of the goods to you.

Once Reach processes your payment information and the transaction is verified, the items you purchased will be fulfilled directly by the party supplying the goods, by delivery or other means.

Reach may refuse service, refuse to process or complete orders, remove or edit content, or cancel orders for any reason or for no reason, in its sole discretion.

If you are under the age of majority in the jurisdiction in which you reside, approval of your parent or guardian is required to complete your purchase.

In some jurisdictions, Reach obtains payment processing services through affiliates or third-party service providers. In such instances, such affiliates and third parties are obligated under their contract with Reach to comply with strict privacy and data protection requirements.
Here are some other things to understand about your order:
Currency. You may select your preferred payment method and currency from a list of options available at the time of checkout. Please note that the relative value of currencies may vary, and as a result, the actual purchase price for items in your order may vary based on the currency selected.
Billing. If you use a payment card or other electronic form of payment as your payment type, your bank or payment card statement will include a reference to "Reach" and the party supplying the goods.
Shipping. Items in your order may be fulfilled via a single transaction, or via multiple transactions. If items in your order are fulfilled via multiple transactions, or if your order is only partially fulfilled, you will only be charged for those items that are actually fulfilled
Chargebacks, Fraud Prevention and Void Transactions. For your protection, Reach may use various fraud prevention protocols and policies, and industry-standard verification systems, to reduce fraud and minimize chargeback risks. You must comply with such protocols and policies, including card authentication, and "ship to" and "bill to" address verification. Once an order is placed, you may not change any authenticated payment information or any verified "ship to"/ "bill to" address. If there is a systemic error which results in the processing or acceptance of a transaction for which authorization has been declined, that transaction will be void.
Product. You may have the benefit of a manufacturer’s warranty in respect of the item(s) purchased and you should refer to the relevant documentation supplied with the item in this regard.
Customer Service and Returns. Questions or concerns about your order may be directed to Reach. Reach will work with the party supplying the goods as necessary to resolve your issue. If the party supplying the goods allows for returns on orders, Reach will assist you in processing a return in accordance with that party’s policy, including reimbursement for the original sales prices of returned products, if authorized.. Reach may refuse any return requested if a restriction applies to the item for which the return is requested.

TO THE EXTENT PERMITTED BY LAW, REACH MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE PRODUCTS DEPICTED ON OR ORDERED FROM THE WEBSITE, THE PROVISION OF REACH’S SERVICES, OR THE INFORMATION OR CONTENT DISPLAYED ON OR ACCESSIBLE VIA THE WEBSITE INCLUDING THE CHECKOUT PROCESS. YOU EXPRESSLY AGREE THAT YOUR USE OF REACH’S SERVICES IS AT YOUR SOLE RISK. NEITHER REACH, NOR ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, VENDORS OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, DIRECT, SPECIAL, CONSEQUENTIAL OR INCIDENTAL DAMAGES, INCLUDING WITHOUT LIMITATION FOR ANY LOSS OF DATA OR PROFITS, THAT MAY BE INCURRED OR RESULT IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) REACH’S SERVICES OR PRODUCTS PURCHASED THROUGH REACH, EVEN IF REACH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN THE EVENT THAT REACH IS FOUND TO BE LIABLE TO YOU FOR ANY DAMAGE OR LOSS CONNECTED WITH YOUR USE OF REACH’S SERVICES OR ANY PRODUCTS PURCHASED THROUGH REACH, REACH’S AGGREGATE LIABILITY SHALL NOT EXCEED $100 USD.
Intellectual Property. All content on the s website, including in the checkout process, such as software, object code, source code, text, graphics, logos, button icons, images, audio clips, and digital downloads, is the property of Reach, the party supplying the goods, or their respective licensors, as may be applicable, and is protected by United States and international copyright laws. All designs, graphics, logos, page headers, button icons, scripts, and service names are trade-marks or registered trade-marks of the party supplying the goods or Reach, as may be applicable, in the U.S. and/or other countries. Such trademarks may not be used without the prior written authorization of the Merchant or Reach, as may be applicable.
General Terms. The following general terms apply whenever you place an order:

Compliance with Applicable Laws.
You certify that any products purchased through an order will not be exported, sold, or transferred in violation of any applicable laws, including without limitation any applicable export control and economic sanctions laws and regulations. It is your responsibility to know the laws of the country into which you are importing any products that you order. By placing an order you certify that the import of the products you have ordered to the country of the shipping address you have provided does not violate any laws or regulations of that country.

Privacy.
To complete your order you will be providing personal information to Reach and you consent to your personal information being collected, used, processed, disclosed and/or stored by Reach and our service providers as may be required in order to process and complete your order and otherwise provide the services you have requested, in accordance with Reach’s Privacy Policy. Reach accepts no liability or responsibility for the collection, use, processing, disclosure or storage of your personal information by the party supplying the goods or any service provider engaged by that party. The collection, use, processing, disclosure and/or storage of your personal information by the party supplying the goods or its service providers is governed by that party’s privacy policy.
The party supplying the goods and Reach may analyze transactional data for the purpose of identifying trends, statistics and measurements that could contribute to the enhancement of customer experience and/or the services provided by Reach. Any transactional data analyzed for these purposes will be aggregated and anonymized, meaning that any personally identifiable information will be removed.

Electronic Communications.
When you place an order, you are communicating with Reach electronically, and you consent to entering into this agreement by electronic means, and to receive communications from Reach electronically/via email.

Modifications.
You acknowledge that Reach may make changes to its system, policies, and these Terms of Service at any time. Reach will ensure that the current version of these Terms of Service is presented every time you make an order. You are responsible for reviewing these Terms of Service each time you make an order. If you do not agree to any change in the Terms of Service, you must not complete your order. Any order placed after the effective date of a change will constitute your agreement to the change and to the current Terms of Service.

Severability.
If any or any portion of these Terms of Service is found to be invalid, void, or for any reason unenforceable, that term or portion of terms will be severed, and will not affect the validity and enforceability of the remaining terms.

Governing Law.
If you reside in Canada (other than in Quebec), these Terms of Service are governed by and construed in accordance with the laws of Canada. If you reside in the province of Quebec, these terms of services are governed by and construed in accordance with the laws of Quebec and the laws of Canada applicable therein. If you reside in Australia, these Terms of Service are governed by and construed in accordance with the laws of Australia. If you reside in the US, these Terms of Service are governed by and construed in accordance with the laws of the US. If you reside in a country in the European Union, these Terms of Service are governed by and construed in accordance with the laws of Estonia. Otherwise, these Terms of Service are governed by and construed in accordance with the laws of England and Wales.

Proceedings.
Any action or proceeding arising out of or relating to these Terms of Service must be brought in the courts of England and Wales and you hereby irrevocably agree to the jurisdiction of the courts in London, United Kingdom for all such purposes.

Language.
The parties have agreed and expressly requested that this agreement and all documents related to it be drawn up in English. Les parties conviennent et exigent expressément que ce contrat et tous documents émis en vertu de celui-ci soient rédigés en anglais.
PRODUCT PURCHASES, PAYMENTS & BILLING
PAID SERVICE AND TERMS OF SALE
- Purchases made through BRYT, including one-time and subscription-based orders, are considered paid services (“Paid Services”). By placing an order, you agree to the pricing and terms applicable at the time of purchase.
- All prices are listed in U.S. dollars, and BRYT products are only available for sale in the United States. Prices, availability, and product offerings may change at any time. We reserve the right to limit quantities, refuse orders, or correct pricing errors at our discretion.
- Once an order is placed, it is a legally binding offer to purchase the selected items. BRYT reserves the right to cancel or modify orders at any time. Your order is not considered final until payment has been successfully processed.
- Upon completing a purchase, you may receive an order confirmation via email. This confirmation does not guarantee acceptance of your order, as all purchases are subject to product availability and final approval by BRYT.
- If your order is delayed, modified, or canceled, we will notify you via the contact information provided at checkout. Title and risk of loss transfer to you upon delivery to the designated carrier.
BILLING
BRYT uses third-party payment processors such as Stripe, PayPal, and Shopify to handle transactions. By making a purchase, you agree to their terms and conditions as well. BRYT is not responsible for any errors, delays, or issues caused by payment processors.
By purchasing BRYT products, you authorize us to charge your selected payment method for the full order amount, including applicable taxes and fees. If payment is declined, you are responsible for resolving the issue with your financial institution.
If a chargeback is initiated against us, we reserve the right to suspend or terminate your account and seek recovery of owed funds through legal means.
SUBSCRIPTION & AUTO-RENEWAL
When signing up for a subscription, you acknowledge that recurring charges will be processed automatically according to the billing cycle selected. Unless canceled before the renewal date, your subscription will continue, and your payment method will be charged accordingly.
To modify or cancel your subscription, log into your BRYT account or contact our customer support team. Cancellations must be made before the next billing cycle to avoid additional charges.
BRYT reserves the right to update subscription pricing or terms. Any changes will be communicated to you in advance, and your continued use of the service constitutes acceptance of the new terms.
CANCELLATION POLICY
Customers may cancel their BRYT subscription after the first 20 days of their initial order. This period allows time to experience the product before making a cancellation decision.
To cancel a subscription, customers must log into their account and follow the cancellation process. Once canceled, future recurring charges will be discontinued, and no further shipments will be sent.
For questions or assistance with cancellation, customers can contact BRYT support. By placing an order, you acknowledge and agree to this cancellation policy.
CHANGE IN PAYMENT AUTHORIZATION
If a payment amount differs from the pre-authorized charge due to subscription modifications, applicable taxes, or price updates, you will receive notice of the change before the charge is processed. If you disagree with the revised charge, you may cancel your subscription before the next billing cycle.
Your agreement with your payment provider governs your use of your selected payment method. BRYT reserves the right to process aggregated charges or recurring billing in accordance with the terms outlined in your subscription.
DISPUTE RESOLUTION & ARBITRATION
All disputes related to these Terms or your use of BRYT services will be resolved through binding arbitration on an individual basis. You waive the right to participate in class actions, class-wide arbitrations, or jury trials.
Arbitration will be conducted by a neutral arbitrator, and not in a federal, state, or local court. The arbitrator has exclusive authority over all disputes relating to the interpretation, enforceability, and applicability of these Terms.
EXCEPTIONS TO ARBITRATION
This arbitration agreement does not prevent either party from:
(a) Pursuing individual claims in small claims court;
(b) Seeking enforcement through applicable government agencies;
(c) Filing for injunctive relief in a court of law;
(d) Addressing intellectual property disputes through legal channels.
OPT-OUT OPTION
If you do not wish to resolve disputes through arbitration, you may opt out within 30 days of first accepting these Terms. To opt out, send a written notice including your full name, address, and a statement of intent to opt out to: XXXXX

Failure to opt out within the specified timeframe will constitute acceptance of arbitration as the sole dispute resolution method.
SEVERABILITY
If any provision of these Terms is deemed unenforceable, the remaining provisions shall remain in full effect.
